Product Disclosure and Risk Statement

This document explains Yumme’s food-ordering and delivery platform, annual membership, payment options, cryptocurrency-payment risks, important exclusions, consumer protections, complaint pathways and the responsibilities of Yumme, merchants, delivery providers and users.

Section 01

Status and purpose of this document

Important regulatory status notice. This is a commercial product disclosure and risk statement for a food-commerce platform and membership. It is not represented as a statutory Product Disclosure Statement under Part 7.9 of the Corporations Act 2001 (Cth), and Yumme does not represent that the annual membership, food-ordering service or acceptance of cryptocurrency as payment is a regulated financial product.

If any Yumme wallet, token, stablecoin, payment facility, custody, exchange, transfer, staking, yield, lending, investment or similar arrangement is or becomes a financial product or regulated service, Yumme must not rely on this document alone. The applicable issuer must first obtain required legal advice, licences, registrations and authorisations and provide every disclosure required by law.

This Statement is designed to help a reasonable user understand the product before purchasing a membership or using a cryptocurrency payment option. It describes material features, fees, limitations and risks known at the effective date. It should be read with the Yumme Terms of Service, Privacy Policy, checkout screen, membership offer, refund policy and any feature-specific terms.

This Statement is not legal, tax, accounting, financial product, investment, credit or insurance advice. It does not recommend acquiring, holding or disposing of any cryptocurrency. Obtain independent professional advice appropriate to your circumstances.

No disclosure can eliminate every risk or anticipate every factual situation. Nothing in this Statement excludes, restricts or modifies any right, guarantee, remedy or liability that cannot lawfully be excluded, restricted or modified.

Section 02

Who provides the product

Yumme is operated by David Tran trading as TRAN Systems, ABN 99 773 857 017 (“TRAN Systems”, “Yumme”, “we”, “us” or “our”). Yumme provides the technology, account, membership and payment-facilitation services expressly identified as supplied by Yumme.

Independent merchants ordinarily sell and prepare food and other items. The merchant or delivery provider identified in the order flow or receipt ordinarily supplies the delivery service. Their responsibilities are explained below and in the Terms of Service.

Renewal
Card-based memberships renew automatically unless cancelled. Self-custody cryptocurrency memberships require a new payment unless a separate lawful recurring mandate is expressly accepted.
Cancellation
Cancel at any time without an early-termination fee. Cancellation normally stops the next renewal and benefits continue to the end of the paid period.
Currency
Prices, charges, refunds and statutory remedies are denominated and calculated in Australian dollars even if payment is made using cryptocurrency.
Section 04

Eligibility and suitability

You must be at least 18 years old, legally capable of entering a binding contract, located in an area where the relevant feature is offered, maintain a valid Yumme Account and satisfy any identity, payment, security and eligibility checks. A person acting for an organisation represents that they have authority to bind it.

The Annual Membership may suit a user who expects to place qualifying orders during the year and accepts that actual savings depend on use. It may not suit a person who rarely orders, is outside participating service areas, requires guaranteed delivery times or savings, cannot meet minimum order conditions, or does not understand and accept cryptocurrency-payment risks.

Yumme does not assess whether acquiring cryptocurrency is suitable for you. Never acquire or use a digital asset merely because it is offered as a payment method. You may use an available conventional payment method instead.

Section 05

Annual Membership

5.1 Membership Offer

Before purchase, the Membership Offer must show the Annual Fee, Membership Period, billing or expiry date, included benefits, material eligibility rules, participating areas or merchant categories, minimum order thresholds, usage caps, exclusions, renewal method and cancellation process. Review the Membership Offer and checkout total before confirming.

5.2 Membership Period

A paid Membership Period begins when Yumme confirms cleared payment and activation and continues for 12 months, ending at 11:59 pm in the Account’s local Australian time zone on the day before the corresponding anniversary, unless the Membership Offer states another clearly disclosed calculation.

5.3 No guaranteed economic return

The Membership is a consumption service, not an investment. Yumme does not promise that discounts, fee reductions, credits or other benefits will equal or exceed the Annual Fee. Any illustration of potential or average savings is an estimate based on stated assumptions and is not a guarantee of your savings.

5.4 Personal use and sharing

Unless the Membership Offer expressly permits a business, family or group plan, the Membership is personal, non-transferable and limited to one Account. Benefits may not be resold, pooled, duplicated or used to operate a delivery, ordering, arbitrage or resale business. Reasonable household ordering is not abuse merely because another person receives an order.

5.5 What is not included

Unless expressly included in the Membership Offer, the Annual Fee does not include item prices, tips, taxes, regulated-item charges, payment-provider fees, small-order fees, surge or demand fees, priority fees, long-distance fees, out-of-area fees, return charges, cancellation charges, cryptocurrency network fees or fees imposed by a bank, card issuer, exchange, wallet or blockchain service.

Section 06

Billing, renewal, cancellation and membership refunds

6.1 Card or conventional recurring billing

If you choose a payment method capable of recurring billing, the Membership automatically renews for successive 12-month periods until cancelled. You authorise Yumme and its payment provider to charge the Annual Fee shown before renewal to the selected payment method. Yumme will send a renewal reminder at least 30 days before an annual renewal, identifying the renewal date, current price and how to cancel.

6.2 Cryptocurrency renewal

Yumme cannot pull assets from a self-custody wallet and will never request your private key or seed phrase. Unless you have separately accepted a lawful recurring-payment mandate through an identified provider, Yumme will send a renewal invoice or payment request. The crypto-paid Membership renews only after the required payment clears. If payment is not completed by the stated expiry time, the Membership lapses without an early-termination fee or debt for the next period.

6.3 Failed or duplicate payments

A declined conventional payment may be retried and another payment method you expressly selected may be offered. Yumme must not knowingly collect the same Annual Fee twice. If a duplicate collection occurs, contact support and Yumme will investigate and return the duplicate amount where confirmed. A pending blockchain transaction is not a duplicate merely because it has not yet reached the required confirmations.

6.4 Cancellation

You may cancel at any time through Account settings, where available, or by contacting support. There is no early-termination fee. Unless a refund right applies, cancellation stops the next renewal and you retain benefits to the end of the current paid Membership Period. Cancellation of a Membership does not automatically cancel an order already accepted.

6.5 Voluntary 14-day cancellation window

You may request cancellation within 14 calendar days after the initial purchase or an annual renewal. If no Membership Benefit has been used since that charge, Yumme will refund the Annual Fee in full. If a benefit has been used, Yumme may deduct only the reasonable, disclosed value actually received and refund the balance. This voluntary policy is additional to, and does not limit, rights under the Australian Consumer Law.

6.6 Cancellation or material change by Yumme

If Yumme ends a paid Membership for convenience, permanently discontinues it, or makes a material adverse change during a prepaid period without offering a substantially equivalent alternative you accept, Yumme will provide a reasonable pro-rata refund for the unused period. A refund may be reduced for loss caused by proven fraud or material misuse only to the extent lawful, proportionate and reasonably connected to that conduct.

6.7 Price changes

Yumme will give at least 30 days’ notice before an increase applies to a renewal. The current Membership continues at the paid price until its expiry. You may cancel before renewal. An increase does not apply retrospectively to a completed Membership Period.

Section 07

Benefits, promotions, credits and fair use

Membership Benefits are those expressly shown in the Membership Offer or later added without extra charge. They may include waived or reduced specified fees on eligible orders, member pricing, credits, rewards, exclusive merchant offers, early access or support features.

Benefits may be subject to participating merchants, geographic areas, service hours, minimum item subtotal, eligible items, maximum discount, maximum uses, payment method, Account standing and availability. These limits must be disclosed before the relevant order is confirmed. A “$0 delivery fee” or similar benefit applies only to the named fee and does not mean the entire order or fulfilment service is free.

Promotional credits, loyalty points and vouchers are not money, deposits or cryptocurrency unless expressly and lawfully stated. Unless the applicable offer says otherwise, they are personal, non-transferable, not redeemable for cash, subject to disclosed expiry and may be removed if obtained through mistake, duplicate Accounts, fraud or manipulation. Purchased value and accrued statutory rights will not be removed contrary to law.

Yumme may apply reasonable fair-use controls to prevent fraud, resale, automated ordering, account sharing outside an allowed plan, artificial transactions or use materially inconsistent with the stated personal purpose. Before suspending benefits, Yumme will consider the seriousness, evidence, impact and whether a warning or verification can reasonably address the issue.

A listing is generally an invitation to submit an order. Your order is accepted when the relevant supplier confirms it. A supplier may reasonably reject or cancel because of stock, closing time, delivery limits, safety, apparent fraud, legal restrictions or an obvious pricing error. If an order is not supplied for a reason not attributable to you, applicable charges for the unsupplied items or services will be refunded.

Yumme may act as a disclosed limited agent for presenting information, transmitting an order, collecting or refunding payment, issuing a receipt and providing support. Those functions alone do not make Yumme the manufacturer, food preparer, Merchant, employer or delivery supplier.

Section 09

Delivery and pickup disclosures

Preparation, pickup and delivery times are estimates unless expressly guaranteed. Traffic, weather, demand, merchant capacity, stock, access, network outages, safety events and other circumstances can change the estimate. Status information may be delayed or inaccurate.

You must provide an accurate address, safe access, relevant instructions and a contactable number and be reasonably available to receive the order. Do not ask a delivery person to enter an unsafe place. If delivery cannot be completed for a reason within your control, the order may be left in an authorised safe place, returned, disposed of where appropriate for perishables or cancelled, and reasonable disclosed costs may apply.

“Verified”, screened, rated or similar language describes a risk-control process only. It is not a guarantee of identity, conduct, qualifications, insurance, safety, item condition or successful delivery. Users must continue to take reasonable precautions.

Title and risk in goods are determined by the contract with the Merchant and applicable law. Risk does not pass merely because Yumme facilitates payment. A delivery supplier has care of the order while performing its delivery obligations to the extent provided by law and contract.

Section 10

Food safety, allergens and regulated items

Each Merchant is responsible for required food-business registrations and licences, safe sourcing, storage, preparation and packaging, temperature control, accurate mandatory information, allergen declarations, dietary claims, recalls and compliance with applicable food laws.

Allergy warning. If you have a serious allergy, intolerance, coeliac disease, medical condition or other dietary requirement, review the available information and contact the Merchant before ordering. Menu labels and filters do not guarantee that an item is free of an allergen or cross-contact. Do not consume an item if its seal, temperature, smell, appearance, contents or labelling creates a reasonable safety concern.

Report suspected foodborne illness, contamination, an undeclared allergen, tampering, unsafe temperature or a recall issue promptly. Keep the item, packaging, receipt and photographs where safe to do so. Seek medical help immediately where needed; Yumme is not an emergency service.

Alcohol, tobacco, vaping products, medicines, knives and other regulated or age-restricted products may be offered only where lawful and specifically enabled. Age and identity checks, refusal rules, location limits and separate terms apply. A person must not buy or receive a regulated item for a person who is underage or otherwise prohibited.

Section 11

Cryptocurrency-payment framework

11.1 Payment method only

Where enabled, Yumme permits an Approved Digital Asset to be used solely as a method of paying an amount denominated in AUD for an order or Annual Fee. The payment option is not an invitation to invest, a recommendation to acquire the asset, a promise of appreciation, a deposit, credit, stored value, yield product or guarantee of liquidity.

11.2 Lower-risk operating model

Unless a separate regulated disclosure expressly states otherwise, Yumme:

  • does not issue or sell a Yumme cryptocurrency or stablecoin;
  • does not operate an exchange, market, brokerage, transfer service or investment scheme;
  • does not hold, control, recover or back up a user’s private keys or seed phrase;
  • does not promise redemption, convertibility, a fixed value, profit, interest, staking return or other yield;
  • does not hold customer cryptocurrency on account after payment settlement except where temporarily required by an identified processor under separate terms; and
  • does not provide financial product or tax advice.

11.3 Approved asset and network

The checkout must identify the exact asset, blockchain network, receiving method, amount, quote expiry, required confirmations, network-fee responsibility and processor before you authorise payment. A symbol alone is not sufficient because similarly named tokens may exist on different networks. Only send the exact Approved Digital Asset on the exact Approved Network shown for that transaction.

11.4 Alternative payment

Cryptocurrency payment is optional unless a particular lawful service clearly states otherwise before purchase. Where a conventional payment method is available, you may use it instead. Yumme may limit or disable an asset or network for legal, security, liquidity, operational or risk reasons.

Section 12

Crypto price quotes, fees, confirmations and settlement

12.1 AUD-denominated obligation

The amount owed is the AUD total shown at checkout. The crypto amount is calculated using the exchange-rate source, spread or conversion fee and timestamp disclosed with the quote. The quote remains valid only for the displayed Quote Period.

12.2 Network and provider fees

Unless checkout states otherwise, you pay blockchain gas, miner, validator, exchange, wallet and other sender-side fees in addition to the quoted amount. A fee deducted from the amount delivered may cause an underpayment. Yumme will disclose any fee it or its processor charges where required.

12.3 Settlement

Payment is complete only when the processor detects the correct asset on the correct network, the full required amount is received before quote expiry and the transaction reaches the required confirmations or other finality threshold. An order or Membership may remain pending during confirmation. A transaction hash, wallet notification or screen image alone is not proof of final settlement.

12.4 Expired, underpaid and overpaid transfers

  • Expired quote: Yumme may require a new quote, request the shortfall or return value net of unavoidable network and processor costs where lawful.
  • Underpayment: the transaction may remain incomplete until the shortfall is paid by the deadline. An immaterial shortfall may be waived at Yumme’s reasonable discretion.
  • Overpayment: Yumme will investigate and return the confirmed excess where reasonably practicable, less only disclosed or unavoidable direct recovery costs, unless you agree to a credit.
  • Wrong asset, network, address, tag or memo: recovery may be impossible. Yumme is not required to attempt recovery where it lacks technical control or the attempt would create disproportionate security, legal or operational risk. If recovery is possible, reasonable disclosed third-party recovery costs may be deducted.

12.5 Forks, airdrops and similar events

Payment of the quoted asset does not give you a right to a forked asset, airdrop, staking reward or other ancillary entitlement received by Yumme or a processor, unless expressly agreed. Yumme may pause affected payments until the network is reasonably stable.

Section 13

Refunds for cryptocurrency payments

Refund entitlements are calculated in AUD because the underlying order and Annual Fee are priced in AUD. A person does not gain or lose a statutory refund entitlement merely because cryptocurrency was used to pay.

If a refund is due, Yumme may, after disclosing the method:

  • refund the AUD amount to an approved conventional payment method;
  • return the same number of units originally received where operationally and legally appropriate; or
  • convert the AUD refund amount into an Approved Digital Asset using the disclosed rate source at the time the refund is initiated.

The chosen method must not be used to avoid a consumer remedy. Because exchange rates change, the fiat value or number of crypto units returned may differ from the original payment. Network fees may be deducted only if disclosed, reasonably incurred and lawful. Yumme may require verification of a refund address and will never ask for a private key or seed phrase.

Refund processing may be delayed by network congestion, security checks, sanctions screening, legal restrictions or a processor outage. Yumme will keep you reasonably informed and will not withhold an undisputed refund longer than reasonably necessary.

Section 14

Material digital-asset risks

Section 15

Financial-product and payments regulation warning

Australian financial-services law applies according to the substance and function of a product, not its label. A digital asset, wallet or related arrangement may be a non-cash payment facility, managed investment scheme interest, security, derivative or another financial product. Providing advice, dealing, market-making, custody or other financial services in relation to a financial product may require an Australian financial services licence and retail-client disclosures.

The single-payee or incidental nature of a payment arrangement may be relevant but must not be assumed. A food business that simply receives cryptocurrency incidentally as payment may be treated differently from a business that operates a wallet, transfers value for customers, exchanges assets, controls keys, issues a payment token or promotes an investment.

Launch gate. Yumme must obtain a written Australian financial-services and AML/CTF classification before enabling any proprietary token, hosted or downloadable payment wallet, “pay anyone” function, stablecoin, stored-value balance, customer custody, crypto-to-crypto or crypto-to-fiat exchange, transfer on behalf of a customer, staking, lending, yield, investment, redemption or secondary-market feature.

No statement that Yumme, a provider or an asset is “registered”, “verified”, “compliant” or “approved” should be understood as government endorsement or a guarantee of value, safety, liquidity or legal status.

Section 16

Identity checks, AML/CTF, fraud and sanctions

Yumme or an identified provider may collect and verify identity, date of birth, address, business ownership, source or destination of funds or assets, wallet information and transaction purpose where reasonably required for fraud prevention, sanctions compliance, anti-money laundering and counter-terrorism financing obligations or other law.

A transaction may be screened, delayed, rejected, returned, frozen or reported where required or reasonably necessary to address suspected fraud, stolen assets, scams, money laundering, terrorism or proliferation financing, sanctions evasion, illegal goods, account takeover or another serious risk. Yumme may be legally prohibited from explaining a report or investigation.

Providing specialised virtual-asset services can require AUSTRAC enrolment, registration, an AML/CTF program, customer due diligence, transaction monitoring, recordkeeping and reporting. Incidental receipt of cryptocurrency for Yumme’s own goods or services does not remove the need for a service-by-service legal assessment.

You must not use Yumme to disguise transaction origin, evade tax or sanctions, deal with criminal proceeds, facilitate an unlawful transfer or transact for a prohibited person or jurisdiction. Yumme will act proportionately and will return lawful funds or assets when legally permitted and operationally possible.

Section 17

Tax and records

Using cryptocurrency to pay can be a disposal for Australian tax purposes and may produce a capital gain, capital loss, assessable income or business consequence depending on how the asset is held and used. Personal-use-asset treatment is limited and fact-specific. GST, income tax, recordkeeping and other rules may apply to customers, merchants and Yumme.

You are responsible for your own tax position. Keep the transaction date and time, asset and amount, AUD market value, exchange-rate source, wallet addresses, transaction hash, fees, receipt, refund and purpose. Yumme may provide records but does not guarantee that they contain everything required for your tax return.

Section 18

Privacy, blockchain data and recordkeeping

Yumme’s handling of personal information is described in its Privacy Policy. To operate the product, Yumme may handle Account, order, subscription, location, support, device, fraud, identity and payment information and share necessary information with the relevant Merchant, delivery provider, payment processor, identity provider, insurer, claims manager, professional adviser or authority.

A public blockchain can expose wallet addresses, token amounts, timestamps, transaction identifiers, contract events and transaction relationships permanently and globally. Public blockchain records may be copied, analysed or linked to a person by others. They generally cannot be changed or deleted by Yumme.

Do not place a name, phone number, delivery address, order instruction, allergy, health information or other unnecessary personal information in an on-chain memo or transaction. Yumme will keep directly identifying order information off-chain where reasonably practicable.

Account deletion does not erase a public blockchain record or information Yumme must retain for tax, financial crime, disputes, safety or another legal purpose. Where required, Yumme will delete or de-link eligible off-chain data and explain material retention limits.

Section 19

Account, payment and scam security

Keep passwords, one-time codes, devices, wallet credentials and recovery material secure. Enable multi-factor authentication where available. Notify Yumme promptly of suspected account takeover, unauthorised charges, address substitution, phishing, malware or a mistaken transaction.

Yumme will never ask for your private key or seed phrase. Do not send cryptocurrency to an address delivered only through an unsolicited message, social-media post or search advertisement. Open Yumme independently and verify the payment request, asset, network and amount.

Security controls reduce risk but cannot guarantee that every attack, compromised device, malicious wallet, fake merchant, fraudulent user or third-party breach will be prevented. Yumme remains responsible for using reasonable care in the systems and services it directly controls and for any non-excludable legal duty.

Section 20

Availability, outages and product changes

The Platform, Membership Benefits, merchants, delivery capacity, payment providers, assets and networks may not be available at all times or in every location. Yumme may perform maintenance, correct errors, deploy security updates and suspend a feature affected by an outage, exploit, fork, de-peg, liquidity event, regulatory change or safety risk.

Yumme will use reasonable efforts to give notice of planned downtime or a material adverse change to an ongoing paid service. Emergency legal, security or safety changes may take effect immediately. If a permanent discontinuance materially deprives you of prepaid Membership value, the pro-rata refund protection in section 6 applies.

Neither Yumme nor a user is liable for delay or failure caused by an event beyond reasonable control to the extent permitted by law, provided the affected party takes reasonable steps to reduce the impact. This does not excuse payment already due for supplied goods or remove a non-excludable remedy.

Section 21

Incidents, illness, injury, death and property damage

Yumme is not an emergency service. If anyone is in immediate danger or needs urgent police, fire or medical assistance in Australia, call 000 first.

After addressing immediate safety, report an accident, assault, threat, foodborne illness, allergic reaction, unsafe item, property damage, suspected crime, vehicle incident or other serious event to Yumme as soon as reasonably practicable. Provide the order number, date, parties, location, description, injuries or damage, emergency-service details and available photographs, packaging, receipts and communications. Do not put yourself at risk to collect evidence.

Yumme may preserve and share relevant information with the supplier, insurer, claims manager, professional adviser, regulator or law-enforcement agency where lawful. Investigation, support, communication with an insurer or payment of an interim amount is not an admission of liability.

Nothing in this Statement excludes or limits liability for death, personal injury, property damage, fraud, wilful misconduct, negligence or another matter to the extent the law does not permit exclusion or limitation. Responsibility otherwise depends on who supplied the relevant goods or services and who caused or contributed to the event.

Section 22

Insurance and compensation

Unless a specific written policy, certificate or benefit expressly says otherwise, using Yumme or purchasing the Membership does not provide accident, life, health, income-protection, workers compensation, motor, public liability, professional indemnity, business-interruption, goods-in-transit, property, cyber, digital-asset, deposit or investment insurance.

A statement that a Merchant, delivery provider, payment processor or other third party holds insurance does not guarantee that a particular person, item, event, amount, exclusion or claim is covered. The actual policy wording, insurer decision and applicable law control.

Merchants, delivery providers and Business Users must maintain every insurance required by law and insurance reasonably appropriate to their activities. Yumme must not describe an insurance or protection program as included unless the insurer, policyholder, insured persons, coverage, limits, excesses, exclusions, claim process and territorial period are documented and disclosed.

Cryptocurrency payments and assets are not guaranteed by Yumme, a government deposit guarantee or a compensation scheme merely because they are accepted on the Platform. If Yumme later provides a regulated financial service to retail clients, any legally required compensation arrangement will be separately disclosed.

Section 23

Australian Consumer Law and remedies

Goods and services supplied to consumers may carry guarantees that cannot be excluded. Depending on the supply, goods must be of acceptable quality, fit for a disclosed purpose and match their description; services must be provided with due care and skill, fit for a disclosed purpose and supplied within a reasonable time where no time is agreed.

If an order is missing, materially incorrect, unsafe, damaged, not of acceptable quality or not supplied, or a service fails a consumer guarantee, contact Yumme and the identified supplier. Depending on the failure and the law, remedies may include correction, replacement, re-supply, cancellation, refund and compensation for reasonably foreseeable loss.

Perishable, personalised, hygiene-sensitive, digital and regulated items may not be returnable merely because you changed your mind. This does not affect a remedy for a failure to meet a consumer guarantee. A Yumme policy cannot replace or reduce a remedy the law provides.

Any disclaimer, exclusion, limitation, suspension right, indemnity or refund restriction in this Statement or a related document applies only to the maximum extent permitted by law and is read down where necessary. Yumme will not rely on a term that is unfair or unlawful in a standard-form consumer or small-business contract.

Section 24

Liability allocation and financial loss

24.1 Independent suppliers

Where a Merchant or delivery provider is the identified supplier, that supplier is responsible for the goods or services it supplies. To the maximum extent permitted by law, Yumme is not liable for loss caused solely by that independent supplier and not contributed to by Yumme. Yumme remains responsible for its own representations, acts, omissions and non-excludable duties.

24.2 No excluded legal responsibility

No limit in this section applies to fraud or fraudulent misrepresentation, wilful misconduct, or death, personal injury or tangible property damage to the extent directly caused by the negligence or wrongdoing of Yumme or a person for whose conduct Yumme is legally responsible. It does not limit consumer guarantees or another liability that cannot lawfully be limited.

24.3 Foreseeable and indirect loss

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable when the relevant contract was made. For a Business User, this may include lost profit, revenue, opportunity, goodwill, anticipated savings, business interruption or corrupted data, except to the extent caused by fraud, wilful misconduct, breach of confidentiality, intellectual-property infringement or a non-excludable obligation.

24.4 Cryptocurrency-specific loss

Yumme is not responsible for a loss caused solely by your wrong address, asset, network, tag or memo; disclosure of a private key or seed phrase; wallet or exchange failure outside Yumme’s control; market-price movement; tax treatment; or an unauthorised transfer not caused or contributed to by Yumme. This exclusion does not apply to the extent Yumme’s inaccurate instruction, security failure, negligence, misleading conduct or breach caused or contributed to the loss.

24.5 Liability cap

Subject to sections 23 and 24.2, Yumme’s aggregate liability for a claim concerning a specific order or directly supplied service is limited to the amount paid or payable for that order or service. For any other claim, aggregate liability is limited to the greater of AUD $1,000 and the fees paid directly to Yumme during the 12 months before the event giving rise to the claim. A cap does not apply where it would be unfair, unreasonable or unlawful and does not reduce a remedy available under the Australian Consumer Law.

24.6 Duty to reduce loss

Each party must take reasonable steps to avoid or reduce loss, including promptly reporting an incorrect payment instruction, unsafe item, account compromise or delivery incident when reasonably possible.

Section 25

User responsibilities and proportionate indemnity

You must provide accurate Account, order, delivery, identity and payment information; review the supplier, items, total charges and payment instructions; secure your Account and wallet; use Yumme lawfully and safely; and not engage in fraud, harassment, violence, illegal trade, sanctions evasion, money laundering, review manipulation or technical interference.

A consumer is responsible for reasonably foreseeable direct loss caused by their fraud, unlawful conduct or material breach but does not indemnify Yumme merely for ordinary lawful use.

A Business User indemnifies Yumme and its personnel against a third-party claim, regulatory penalty and reasonable direct cost only to the extent caused by that Business User’s unlawful conduct, material breach, supplied items or services, infringement, tax or employment obligation, negligence or wilful misconduct. The indemnity is reduced to the extent Yumme caused or contributed to the loss. Yumme will give reasonable notice, permit reasonable participation in the defence and not impose an admission or non-monetary obligation on the Business User without consent, not to be unreasonably withheld.

Section 26

Restriction, suspension and termination

Yumme may immediately restrict an Account, Membership, order or payment feature where it reasonably considers this necessary to address suspected fraud, account takeover, security compromise, money laundering, sanctions, imminent harm, serious or repeated breach, invalid payment, legal requirement or misuse of a regulated item.

Yumme will act reasonably and proportionately. Unless notice would create risk, breach law or compromise an investigation, Yumme will explain the general reason and provide a reasonable opportunity to respond or appeal. A permanent termination for a legitimate business reason not involving breach will normally receive at least 30 days’ notice and any pro-rata refund required by section 6.

Termination does not erase completed transactions, valid amounts due, claims, public blockchain records or provisions intended to survive. It does not remove a consumer remedy or prevent contact with a regulator, ombudsman, tribunal or court.

Section 27

Complaints, incidents and dispute resolution

27.1 Contact Yumme

Send the Account contact details, order or transaction number, transaction hash if relevant, date, issue, requested outcome and reasonable evidence to insert support email. Yumme aims to acknowledge a standard complaint within two business days and provide an outcome within 30 calendar days. If more time is reasonably needed, Yumme will explain why and give a revised date. Urgent safety and unauthorised-access reports are prioritised.

27.2 Payment and blockchain evidence

Relevant evidence may include the checkout quote, payment request, receiving address, asset and network, transaction hash, confirmations, wallet or exchange receipt, AUD value, fees and communications. Do not send a private key, seed phrase, complete card number or unrelated identity document.

27.3 Informal resolution

Before court proceedings, the parties should attempt in good faith to resolve the dispute for at least 30 days after written notice, unless urgent relief is needed, a limitation period is approaching, or the matter is suitable for a tribunal or small-claims process. Mediation may be agreed. A consumer is not required to arbitrate and may use an available regulator, ombudsman, tribunal or court.

27.4 External options

Australian consumers may contact their State or Territory consumer-protection agency or an applicable tribunal. The Australian Competition and Consumer Commission provides information and accepts reports but does not resolve individual disputes. Privacy complaints may be made to the Office of the Australian Information Commissioner after Yumme has had a reasonable opportunity to respond.

If a separate regulated financial service is supplied, its Financial Services Guide, statutory PDS or complaint notice will identify the licensee, internal dispute process, Australian Financial Complaints Authority membership (if applicable) and other rights. This Statement does not represent that Yumme is presently an AFCA member.

27.5 Governing law

This Statement and the Yumme services it describes are governed by the laws of Queensland, Australia. Subject to any right to bring a claim elsewhere, the parties submit to the non-exclusive jurisdiction of Queensland courts and tribunals and courts entitled to hear appeals from them.

Section 28

Changes, significant events and current information

Yumme may update this Statement to reflect product, provider, legal, regulatory, security or operational changes. The version and effective date identify the current document. A change does not apply retrospectively to a completed transaction unless required by law or agreed.

Yumme will give reasonable advance notice, normally at least 30 days, of a material change that adversely affects an ongoing paid Membership. You may cancel before it takes effect and receive any refund required by section 6 or law. A security, safety or legal change may take effect sooner where reasonably necessary.

If a material adverse change or significant event concerns a regulated financial product, the responsible issuer must comply with applicable statutory update, supplementary disclosure, lodgement and notification obligations. Updating this webpage alone may not be sufficient.

Section 29

Related documents and order of precedence

Read this Statement with:

  • the Yumme Terms of Service;
  • the Yumme Privacy Policy;
  • the Membership Offer and checkout screen;
  • the cancellation, refund, promotion and community policies displayed for the feature;
  • the applicable Merchant and delivery terms; and
  • the payment processor, wallet, exchange and network terms you independently accept.

If documents conflict, non-excludable law prevails. A feature-specific offer or checkout disclosure prevails for its specific price, benefit, asset, network or transaction; this Statement prevails over the general Terms of Service for the specific Annual Membership and cryptocurrency-payment risks it addresses; negotiated written terms prevail over standard terms to the extent of a genuine inconsistency.

A third-party term does not remove an obligation Yumme separately owes. Yumme is not bound by a third party’s promise that Yumme did not authorise.

Definitions

Account
Your registered Yumme customer, merchant, business or other user account.
Annual Fee
The AUD price for a 12-month Membership Period disclosed in the Membership Offer.
Annual Membership or Membership
The paid renewable consumption service described in this Statement and the Membership Offer.
Approved Digital Asset
The exact cryptocurrency or token expressly displayed as accepted for a specific transaction.
Approved Network
The exact blockchain or transfer network displayed for the Approved Digital Asset and transaction.
Australian Consumer Law or ACL
Schedule 2 to the Competition and Consumer Act 2010 (Cth), as applied by Commonwealth, State and Territory law.
Business User
A person using Yumme wholly or mainly in trade, commerce, a profession or business.
Customer
A person who browses, requests, orders, pays for or receives items or services through Yumme.
Delivery Provider
The merchant, courier, contractor or other provider identified as accepting responsibility for a delivery.
Membership Benefit
A benefit expressly included in the applicable Membership Offer.
Membership Offer
The pre-purchase screen or written offer setting out the current price, benefits, limits, renewal and cancellation details.
Merchant
An independent restaurant, store, home-based business or other seller displayed on Yumme.
Quote Period
The limited time during which a quoted crypto amount and conversion rate remain valid.
Yumme Platform or Platform
Yumme’s websites, mobile and web applications, merchant tools, ordering, payment and related services that link to this Statement.

This acknowledgement does not waive a consumer right, excuse misleading conduct, transfer responsibility for Yumme’s systems to you or make you accept a risk that was not fairly disclosed.
